U.S.-based defense firm VisionWave Holdings has formed a Nevada-incorporated joint venture with Israel’s AIPHEX, alongside minority partners GBT Tokenize and GBT Technologies, to pursue large-scale defense and space-grade projects.
The JV carries an internal valuation framework of about $5 billion, with VisionWave and AIPHEX each holding 46.76 percent, Tokenize 6.08 percent and GBT 0.40 percent, the companies said Wednesday.
Capabilities in Focus
The partnership will combine VisionWave’s artificial intelligence-driven defense systems and autonomous aerial platforms with AIPHEX’s multi-physics AI and autonomous missile technologies. Tokenize is contributing a patent portfolio in semiconductors, photonics and AI with a draft independent valuation of roughly $300 million. GBT Technologies brings expertise in AI, Internet of Things and semiconductor design.

Pipeline and Outlook
The JV has already signed a confidential letter agreement outlining 11 projects in advanced negotiations and another 13 under discussion with third parties.
“This joint venture is about scale and execution,” said Noam Kenig, CEO of VisionWave. “We are aligning resources and technology to compete at the scale of megaprojects that will define the future of defense.”
AIPHEX CEO Moshik Cohen added that the Israeli firm’s multi-physics autonomy platform “surpasses the limits of human operators and legacy technologies.” Together, the partners aim to deliver sovereign, software-defined systems for future defense needs, he said.
